Scorift Terms of Service & Software License Agreement

Section 1

Agreement Overview

These Terms of Service ("Terms") govern your access to, and use of the website located at https://scorift.com (or https://www.scorift.com) and the Scorift fraud detection platform, API, and related services provided by Scorift Labs Ltd. ("Scorift," "we," "our," or "us"). By registering, accessing, or using Scorift, you ("Customer" or "You") agree to be bound by these Terms.

Section 2

The Scorift Service

  • Scope of Service: Scorift provides an automated fraud detection and risk-scoring software tool designed to analyze transactional metadata, behavioral signals, and digital fingerprints to assist clients in identifying potentially fraudulent activities.
  • Analytical Tool Only (No Guarantee): You acknowledge that Scorift functions as an analytical decision-support tool. Scorift does not guarantee 100% accuracy, nor does it warrant that the software will detect all fraudulent transactions or that all flagged transactions are definitively fraudulent.
  • Client Decision Authority: The software may occasionally generate false positives (blocking legitimate transactions) or false negatives (missing fraudulent ones). You retain sole and absolute discretion and responsibility for all final business, risk-management, and transactional approval or denial decisions.
Section 3

Intellectual Property Rights

  • Ownership: All right, title, and interest in and to the Scorift software, algorithms, machine learning models, underlying architecture, API documentation, and website materials remain the exclusive property of Scorift Labs Ltd. and its licensors.
  • Limited License: Subject to your payment of applicable subscription fees and compliance with these Terms, Scorift grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Scorift API and dashboard strictly for your internal business operations.
  • Restrictions: You shall not (and shall not permit any third party to):
    • Reverse engineer, decompile, disassemble, or attempt to extract the source code or proprietary detection algorithms of Scorift.
    • Resell, sublicense, lease, or commercialize access to the Scorift platform.
    • Use the platform to conduct automated data harvesting, web scraping, or unauthorized benchmark testing.
Section 4

Customer Data & Privacy

  • Data Processing: To deliver fraud detection capabilities, you will transmit certain transactional and device metadata ("Customer Data") to Scorift. You represent and warrant that you have all necessary rights, lawful bases, and user consents required by applicable privacy laws (including GDPR and CCPA) to transfer such data to Scorift for processing.
  • Data Security: Scorift employs administrative, physical, and technical safeguards—including encryption in transit (TLS 1.3) and at rest (AES-256)—designed to protect Customer Data as outlined in our Security Statement.
Section 5

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCORIFT LABS LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION—ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SCORIFT SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SCORIFT'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SCORIFT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Section 6

Indemnification

You agree to defend, indemnify, and hold harmless Scorift Labs Ltd. and its officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Scorift platform; or (c) any third-party claims resulting from your final transaction approval or denial decisions made using (or ignoring) Scorift's risk scores.

Section 7

Modifications and Termination

Changes to Terms: We may modify these Terms at any time by posting the revised version on https://scorift.com. Continued use of the website or software following any modifications constitutes your acceptance of the updated Terms.

Termination: We reserve the right to suspend or terminate your access to Scorift immediately, without prior notice, if you breach these Terms or engage in conduct that threatens the security or integrity of our platform.

Section 8

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Scorift Labs Ltd. is established, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located within that jurisdiction.

Scorift risk scores and API outputs are decision-support tools, not absolute guarantees or legal determinations. Clients retain sole responsibility for compliance and final transaction decisions.
